Proactive Security Services and its subsidiaries code of ethics embodies the commitment to conduct our business in a professional and ethical way in accordance with all applicable laws, rules and regulations. All Board of Directors, officers, employees and subcontractors are expected to adhere to these principles and procedures set forth in this code when applicable to them.

Commitment to Clients

Proactive Security Services primary responsibility is to provide their clients with professional and competent services. Proactive Security Services understands that many of our products and services are critical to the success of the client and therefore every effort should be made to contribute to the success of the client. Generally, our client interests are primary except in the case of a client involved in illegal or unethical behavior.

Competence

Directors, officers, employees and subcontractors associated with Proactive Security Services should provide services and represent themselves in a professional and competent manner within the boundaries of their education, training, licensing, certifications and relevant experience. Personnel associated with Proactive Security Services should never attempt to provide services for which they are not qualified without qualified supervision.

Compliance

Directors, officers, employees and sub-contractors of Proactive Security Services shall comply with all governmental laws, rules and regulations in all of their activities. All directors, officers, employees and sub-contractors of Proactive Security Services will avoid any activity that could lead to the involvement of Proactive Security Services, if officers, employees or sub-contractors in any type of unlawful activity.

Confilicts of Interests

Directors, officers, employees and sub-contractors of Proactive Security Services will avoid any conflict of interest that may result in personal influences or relationships that would affect their ability to act in the best interest of Proactive Security Services and their clients.

Confidentiality of Information

Directors, officers, employees and subcontractors will protect Proactive Security Services and its client’s information as well as that of suppliers, vendors and Proactive Security Services personnel. Proactive Security Services considers all of its information and the information of its clients to be proprietary and confidential. As such, all information is considered critical to the operations of Proactive Security Services and its clients and therefore release of any such information is prohibited.

Corporate Opportunities

Directors, officers, employees and subcontractors of Proactive Security Services owe a duty to Proactive Security Services to advance its legitimate business interests when the opportunity arises. As such, directors, officers, employees and subcontractors are prohibited form taking for themselves or a related third party a business opportunity that is discovered through their relationship with Proactive Security Services or through the use of Proactive Security Services property.

Proactive Security Services is committed to respecting the culture and diversity of different people and countries. All directors, officers and employees of Proactive Security Services will strive to respect and understand the variations of business and societal culture that exist within its clients, suppliers, vendors and operating locations.

Fair Dealing

Proactive Security Services and its directors, officers, employees and subcontractors will endeavor to deal fairly with all customers, suppliers, vendors and all others they encounter in the course of business.

Illegal or Unethical Behavior-Reporting

Directors, officers, employees and subcontractors are required to report any suspected or actual illegal or unethical activity related to business immediately. Such activity should be reported to the corporate office without delay.

Intellectual Property

Proactive Security Services and its directors, officers, employees and subcontractors understand the importance and privilege associated with intellectual property and take appropriate action to protect intellectual property owned by Proactive Security Services and its clients.

Proper Use of, and Protection of, Company Property

All directors, officers, employees and subcontractors will take proper precautions to protect Proactive Security Services assets and ensure legitimate, proper and efficient use of such assets.
